Terms of Service
The rules that govern our working relationship. Please read them carefully.
1. Introduction
These Terms of Service ("Terms") govern your use of the marketing services provided by Overhead Elite ("we", "us", "our"). By booking a strategy session or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
2. Services
Overhead Elite provides digital marketing services specifically for UK roofing companies. We run paid advertising campaigns on your behalf with the goal of generating booked appointments ("Jobs") directly into your calendar. We cover all advertising spend required to generate these appointments.
3. Pay-Per-Booked-Job Model
You agree to pay £100 (GBP) for each confirmed appointment that is successfully booked into your calendar through our marketing efforts. Payment is due within 7 days of the appointment date, or as otherwise agreed in writing. Invoices are issued weekly or monthly depending on volume.
4. What Counts as a "Booked Job"
A "Booked Job" is a confirmed appointment with a prospective customer that has been scheduled in your calendar via our systems or team. This includes appointments booked by our in-house appointment setters or through our automated booking systems. Cancellations made by the customer with less than 24 hours notice may still be charged at our discretion.
5. No Guarantee of Results
While we aim to deliver 6–8 booked jobs per month, we do not guarantee any specific number of appointments, leads, or revenue. Actual results depend on your location, market conditions, seasonality, and the quality of your sales process. The £100 per job fee applies regardless of whether the appointment converts into paid work.
6. Your Responsibilities
You agree to attend all booked appointments, respond to leads promptly, and maintain a professional standard of service. You must provide accurate business information, including your service areas, contact details, and availability. Failure to do so may result in pausing of campaigns without refund of fees already accrued.
7. Cancellation and Termination
Either party may terminate the agreement with 14 days' written notice. You remain liable for all fees for appointments booked prior to termination. We reserve the right to terminate immediately if you breach these Terms, fail to pay invoices, or engage in conduct that damages our reputation.
8. Intellectual Property
All advertising creatives, landing pages, copy, and systems created by Overhead Elite remain our intellectual property. You are granted a limited licence to use these materials solely for the purpose of the services during the term of our agreement.
9. Limitation of Liability
To the maximum extent permitted by law, Overhead Elite's total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim. We are not liable for indirect, consequential, or loss-of-profit damages.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
We may update these Terms from time to time. The latest version will always be available at this URL. Continued use of our services after changes constitutes acceptance of the revised Terms.
